Having joined Dua Associates in 2014, Shailendra has advised on legal matters involving Indian General Corporate laws and Mergers and Acquisitions (M&A) deals including the cross-border transactions involving mergers and acquisitions, spin-off/demerger of a business unit, etc., with his clientele ranging from top Indian corporates to multi-national corporates including the Fortune 500 companies. He has been advising multi-national corporates in relation to their entry into India market, investments route, transaction structuring, etc., bearing in mind the laws governing foreign exchanges including the foreign direct investment (FDI).
He has also advised his clients on the complex and sensitive legal issues involving the foreign exchange laws of India, Companies Act, 2013, etc., including the matters before/with the Directorate of Enforcement (ED), Reserve Bank of India (RBI), National Company Law Tribunals, office of the Regional Director, Registrar of Companies, etc.
Shailendra has extensive experience in the drafting and negotiation of transaction documents including memorandums of understanding, term sheets, JV agreements, shareholders agreements, share purchase agreements, asset purchase agreements, business transfer agreements, limited liability partnership agreements, services agreements, business and commercial contracts, confidentiality and non-disclosure agreements, data transfer, data sharing and data processing agreements, domain name assignment agreements, leases, leave & license agreements, agreements to sell, sale deeds, etc., to name few.
